It basically means that the theme has a on-page optimized SEO structure, is light weight, is site speed optimized (caching, compressed files, and that fun stuff), and some authors like to add their own SEO extensions built into the theme.
But, SEO optimization is pretty pointless for the most part since the customers usually don’t understand SEO and screw it up with 2mb images, ridiculous titles, keyword spamming, etc. As long as your theme is well coded, which yours are, then just go ahead and say its SEO optimized.

How did you talk to this guy? Via email? If so then you don’t need a contract as you have proof if things go sour. If you talked to him in person or on the phone, I’d just get a simple written statement saying “I hereby give [Name] the right to code my site template into a WordPress theme for commercial purposes.” Something simple like that will do. I’d do that because oral agreements are legally binding but you’d have a hard time proving that the oral agreement took place.

There’s a dozen new file hosts that have taken the place of Megaupload, such as [Edited by Mod] . As others said, its probably just that the marketplaces are gaining more attention and becoming more and more popular.
Have multiple accounts for my referral sites so I can track their performance better, wish the affiliate system was more advanced though and we could set up campaigns.
